1Acceptance
By using the Services, you agree to these Terms.
If using on behalf of an organization, you represent authority to bind the organization.
2Services
PathlyCRM provides a cloud-based CRM platform for senior living communities.
We may modify the Services at any time.
3Accounts
You agree to:
- Provide accurate information
- Maintain credential confidentiality
- Notify us of unauthorized use
4Fees & Payment
- Subscription fees are outlined in Order Forms
- Fees are non-refundable unless stated
- Late payments may result in suspension
5Acceptable Use
You may not:
- Use the platform unlawfully
- Upload malicious code
- Reverse engineer software
- Violate privacy laws
6Client Data Ownership
Client retains ownership of its data.
PathlyCRM retains ownership of all intellectual property related to the platform.
7Confidentiality
Both parties agree to maintain confidentiality of proprietary information.
8Service Level Agreement (SLA)
Uptime Target
99.5% monthly uptime excluding:
- Scheduled maintenance
- Emergency maintenance
- Force majeure events
Service Credits

|---|---|
| 99.0% – 99.49% | 5% credit |
| 98.0% – 98.99% | 10% credit |
| Below 98.0% | 20% credit |
Credits are the sole remedy for downtime.
Support Response Times
| Priority | Response Time |
|---|---|
| Critical | 2 business hours |
| High | 4 business hours |
| Medium | 1 business day |
| Low | 2 business days |
Backup
Daily backups and disaster recovery procedures are maintained.
9Termination
Upon termination:
- Access is disabled
- Data export available for a limited time
10Disclaimer of Warranties
Services are provided "AS IS" without warranties of any kind, express or implied.
11Limitation of Liability
Total liability shall not exceed amounts paid in the previous 12 months.
We are not liable for indirect or consequential damages.
12Indemnification
Client agrees to indemnify PathlyCRM against claims arising from:
- Client Data
- Regulatory violations
- Misuse of platform
13Dispute Resolution & Arbitration
Informal Resolution
Parties agree to attempt good-faith resolution for 30 days.
Binding Arbitration
Disputes will be resolved by binding arbitration under AAA Commercial Rules in the State of Colorado.
Class Action Waiver
Claims must be brought individually.
Injunctive Relief
Either party may seek injunctive relief for IP or confidentiality violations.
14Governing Law
These Terms are governed by the laws of the State of Colorado.
15Changes to Terms
We may update these Terms. Continued use constitutes acceptance.
